The new B2B legislation

Belgian business and contract law has been recently amended by the legislator. As a result, many business contracts and general terms and conditions will/could be (partly) invalid or unenforceable as of 1 December 2020. This webinar gives an overview on a case by case basis of invalid contractual clauses as mentioned on the “black list” and the “grey list”, each time with a proposed amendment to validate. Further, the presentation foresees some tips and tricks to take into account when concluding business contracts. The presentation ends with possible measures which can be taken in case of manifest imbalance between the rights and obligations of the parties.

Social law update

First of all this session aims to inform employers about telework during the COVID-19 pandemic. Special attention goes out to the new ad-hoc Belgian framework in that respect that entered into force on 26 January 2021 (CBA no. 149). Further, the presentation on the impact on employment of the quarantine obligations that are in place in Belgium after travelling to a red zone. Since the vaccine against COVID-19 is a ‘viral topic’ we also discuss whether an employer can force its employees to be vaccinated or to hand over a vaccination certificate. Finally we briefly discuss some measures that can be taken in the framework of a (temporary) reduction of the salary costs due to a decreasing volume of work as a result of the COVID-19 pandemic.

What is the impact of the COVID-19 pandemic on M&A?

Obviously COVID has impacted the transactional M&A business. We have seen an enormous decrease of transactions during the second quarter of 2020. However, it is very interesting to see that as from the third quarter of 2020 (and up until now) the transactional business has recovered. Both in terms of the number of transactions as in prices paid for transactions. During this webinar we provide some insights and how COVID impacts the current transactional process and trends that have come across since the outbreak of the COVID pandemic. Finally, we provide some insights on the possibilities with regards to distressed M&A in Belgium.
